SunlitPath UGC Factory Terms of Service

These Terms of Service (“Terms”) govern your use of SunlitPath UGC Factory (“UGC Factory”), a desktop and internal tool for creating and publishing content through connected platforms. By using UGC Factory, you agree to these Terms. If you do not agree, do not use the tool.

1. Permitted Use

You may use UGC Factory only for lawful content creation, management, analytics, and publishing activities that you are authorized to perform. You are responsible for ensuring that your use complies with applicable laws and the instructions of your organization, if any.

2. Connected Accounts and Security

You are responsible for the connected TikTok, YouTube, Instagram, and other social accounts you use with UGC Factory, including having authority to connect them and keeping their credentials, OAuth approvals, devices, and account access secure. You must promptly disconnect an account or notify SunlitPath if you believe access has been compromised or used without authorization.

3. Content and Rights

You are responsible for all videos, captions, metadata, and other material you create, upload, or submit through UGC Factory. You must have the rights, permissions, licenses, and consents needed to use and publish that content, including rights relating to people, music, trademarks, and other third-party material.

4. Human Approval

You must review and explicitly approve a publishing action before UGC Factory sends it to a connected platform API. UGC Factory is designed as a human-approved workflow and does not autonomously publish content without that approval. You remain responsible for the content and settings you approve.

5. Third-Party Platforms

Your use of TikTok, YouTube, Instagram, and any other connected service is also governed by that service’s terms, policies, developer rules, privacy policy, and community standards. You must comply with them, including requirements for consent, disclosure, content, rate limits, and authorized access. A platform may reject content, revoke permissions, change its API, or limit or close an account independently of SunlitPath.

6. Availability and Performance

UGC Factory and third-party APIs may be unavailable, interrupted, delayed, changed, or discontinued. SunlitPath does not guarantee that any third-party API or integration will always remain available or compatible. We do not guarantee post reach, views, engagement, audience growth, monetization, or other performance results.

7. Prohibited Use

You may not use UGC Factory to:

  • access or publish through an account without authorization;
  • infringe rights, violate law, or distribute unlawful, deceptive, abusive, or harmful content;
  • circumvent platform rules, rate limits, security controls, or approval requirements;
  • probe, disrupt, overload, reverse engineer, or interfere with UGC Factory or its integrations; or
  • use the tool to distribute malware, spam, or unauthorized advertising.

8. Suspension and Termination

SunlitPath may suspend or terminate access to UGC Factory where reasonably appropriate, including for suspected misuse, security risk, violation of these Terms, loss of required authorization, or a change or termination of a third-party integration. You may stop using the tool at any time. Suspension or termination does not remove obligations that by their nature should continue, including responsibility for content and applicable limitations of liability.

9. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, UGC Factory is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. SunlitPath is not responsible for third-party platform decisions, outages, API changes, account actions, content loss, or publishing results. To the maximum extent permitted by law, SunlitPath will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or reach arising from or related to UGC Factory. Nothing in these Terms excludes liability that cannot legally be excluded.

10. Governing Law

To the extent permitted by applicable law, these Terms are governed by the laws of Japan, without regard to conflict-of-law rules. Disputes relating to UGC Factory will be subject to the courts located in Tokyo, Japan, unless mandatory law requires otherwise.

11. Changes to These Terms

We may update these Terms when UGC Factory or its integrations change. Updated Terms will be posted on this page with a revised date. Your continued use after an update means you accept the updated Terms to the extent permitted by law.
